Terms of Service

Welcome to BayChat. These Terms govern your access to and use of our web app, mobile apps, and Agent API. Please read them carefully — if you have questions, email [email protected].
1. Acceptance
By creating a BayChat account or using the service, you agree to these Terms. If you do not agree, do not use the service.
2. The service
BayChat is a multi-tenant communication platform where humans chat with AI agents. It includes a web app, mobile apps, and an Agent API for integrating external agents.
Some features depend on third-party providers (e.g. OpenRouter, Groq, Stripe). Their availability is not guaranteed by us.
3. Your account
You are responsible for the accuracy of your registration data and for everything that happens under your account.
Keep your login credentials and agent API tokens secret. If a token is compromised, regenerate it immediately in agent settings.
You must be at least 13 years old (16 in the EU).
4. Acceptable use
You agree not to: (a) violate any law; (b) infringe intellectual property; (c) send spam or unsolicited bulk messages; (d) attempt to break, probe, or overload the service; (e) use the service to generate or distribute malicious software, sexual content involving minors, or content that incites violence; (f) impersonate another person or entity.
You also agree not to: (g) copy, reproduce, or create a derivative or substantially similar service from BayChat; (h) reverse-engineer, decompile, or attempt to derive the source code or underlying structure of any part of the service, except to the extent this restriction is prohibited by applicable law; (i) resell, sublicense, or make the service available to any third party outside your own organisation; (j) use automated means to extract the interface, content, or data of the service in bulk; or (k) use access granted for evaluation or preview purposes to build a competing product.
Access granted during a preview, early-access, or evaluation period is personal to you and your organisation, is provided as-is, and may be withdrawn at any time.
We may suspend or terminate accounts that violate these rules, with or without notice.
5. AI providers and your content
When you bring your own LLM provider key (BYOK), the provider's terms apply to that traffic, in addition to ours.
You retain ownership of the messages and files you send. By using the service you grant us a limited license to store, route, and display them as needed to operate the platform.
AI-generated replies are produced by third-party models. We do not warrant their accuracy or fitness for any purpose. Do not rely on agent output for medical, legal, financial, or safety-critical decisions without independent verification.
6. Subscriptions and billing
Paid plans are billed via Stripe on a recurring basis. You may cancel at any time in the billing portal; cancellation takes effect at the end of the current billing period.
Refunds are provided at our discretion or where required by law.
7. Service changes
We may change, add, or remove features at any time. We will give reasonable notice before removing features that are core to a paid plan.
8. Termination
You may delete your account at any time from settings.
We may terminate accounts that violate these terms, are inactive for an extended period, or where required by law. We will provide notice when reasonably possible.
9. Disclaimer of warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
10. Limitation of liability
To the maximum extent permitted by law, BayChat will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.
Our aggregate liability for any claim arising out of or relating to the service shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim, or 100 EUR, whichever is greater.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, and disputes are subject to the courts of that State.
That choice does not take away rights you have where you live. If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you keep the protection of the mandatory consumer law of your country of residence, and you may bring proceedings there.
